1. Acceptance of Terms

By accessing or using StreetAlpha ("the Site," "the Platform," "we," "us," or "our"), including any paid or free subscription tier, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms in their entirety, you must immediately stop using the Site and cancel any active subscription. We reserve the right to modify these Terms at any time. Your continued use of the Site following any posted changes constitutes your acceptance of those changes. We will make reasonable efforts to notify users of material changes via email or a notice on the Site.

2. Not Financial Advice

All content published on StreetAlpha — including but not limited to market dashboards, data visualizations, AI-generated portfolio simulations, Morning Market Briefs, options flow analysis, dark pool data, insider trading summaries, sector rotation analysis, breadth indicators, Alpha Bots trade logs, and any other commentary or analysis — is provided strictly for informational and educational purposes only.

StreetAlpha is not a registered investment advisor, broker-dealer, financial planner, or any other type of licensed financial professional under federal or state law. Nothing on this Site should be construed as:

• A recommendation to buy, sell, or hold any security, ETF, option, futures contract, or other financial instrument
• Personalized investment advice tailored to your individual financial situation, risk tolerance, or objectives
• A solicitation or offer to purchase or sell any security
• A guarantee of any investment outcome, return, or performance
• A signal service or trade alert service intended to be copied or followed as investment advice

You are solely responsible for all investment decisions you make. You should always conduct your own independent research and consult a licensed, qualified financial advisor before making any investment or trading decision.

3. Alpha Bots — Simulated Portfolios

The Alpha Bots feature displays simulated trading portfolios generated by artificial intelligence. These portfolios are entirely hypothetical and paper-traded. No actual securities are bought, sold, or held on your behalf. These simulations are provided for entertainment and educational purposes to illustrate how an AI system might approach trading decisions given certain data inputs.

Specifically, you acknowledge and agree that:

• AI-generated trading decisions do not constitute financial advice of any kind
• Simulated past performance does not indicate, predict, or guarantee future results
• The AI may make errors, misinterpret data, hallucinate information, or produce suboptimal decisions
• Copying, mirroring, or acting on any AI-generated trade idea is done entirely at your own risk
• StreetAlpha is not responsible for any losses, damages, or adverse outcomes incurred from acting on AI-generated content
• Simulated portfolios do not account for real-world factors such as bid-ask spreads, commissions, slippage, margin requirements, taxes, or liquidity constraints
• The AI systems powering Alpha Bots may be updated, modified, paused, or discontinued at any time without notice

4. Subscription Plans and Billing

StreetAlpha offers tiered subscription plans ("Free," "AI Trader," and "Pro," or as otherwise described on the pricing page at the time of purchase). By selecting a paid plan, you agree to the following terms:

Billing. Paid subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected) to the payment method you provide at checkout. Billing is processed through Stripe, a third-party payment processor. By providing your payment information, you authorize StreetAlpha to charge the applicable subscription fee on each renewal date until your subscription is cancelled.

Automatic Renewal. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You are responsible for cancelling your subscription if you do not wish to be charged for the next billing period. StreetAlpha is not responsible for charges resulting from a failure to cancel in time.

Cancellation. You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of your current paid billing period. You will retain access to paid features through the end of the period for which you have already been charged. StreetAlpha does not charge cancellation fees.

Refunds. All subscription fees are non-refundable except where required by applicable law. If you believe you were charged in error, contact us at [email protected] within 7 days of the charge and we will review your request on a case-by-case basis. StreetAlpha reserves the right to issue refunds at its sole discretion.

Free Tier. The free tier provides access to a limited set of features as described on the Site. StreetAlpha reserves the right to modify, limit, or discontinue free tier features at any time without liability.

Plan Changes. You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated billing applied. Downgrades take effect at the start of the next billing period.

Price Changes. StreetAlpha reserves the right to change subscription pricing at any time. We will provide at least 14 days' advance notice of any price increase via email or a notice on the Site. Continued use of the subscription after a price change takes effect constitutes acceptance of the new pricing.

Failed Payments. If a payment fails, we will attempt to reprocess the charge. If payment cannot be collected, your account may be downgraded to the free tier or suspended until outstanding amounts are resolved.

5. Account Registration and Security

Certain features of the Site, including paid subscription tiers, require you to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information as necessary
• Keep your login credentials confidential and not share access with others
• Notify us immediately at [email protected] if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

StreetAlpha reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, share subscription access, or otherwise abuse the platform.

6. Data Accuracy and Availability

StreetAlpha aggregates data from third-party sources. While we make reasonable efforts to present accurate and timely information, we make no warranties or representations regarding the accuracy, completeness, timeliness, or reliability of any data displayed on the Site. Market data may be delayed, incorrect, or unavailable at times due to factors outside our control.

We are not responsible for errors or omissions in data, or for any actions taken in reliance on such data. All data is provided "as is" without warranty of any kind, express or implied. Subscription fees are not refunded due to data outages, delays, or third-party data provider failures.

7. No Warranties

THE SITE, ALL CONTENT, AND ALL SUBSCRIPTION SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SITE WILL BE SECURE, FREE FROM BUGS, VIRUSES, OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SITE AND ANY SUBSCRIPTION SERVICE IS AT YOUR SOLE RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STREETALPHA AND ITS OPERATORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM:

• Your use of or inability to use the Site or any subscription feature
• Any investment, trading, or financial decisions made based on content from the Site
• Errors, omissions, or inaccuracies in data, AI-generated content, or analysis
• Any unauthorized access to or alteration of your account, transmissions, or data
• Any interruption, suspension, modification, or termination of the Site or subscription services
• Any third-party conduct or content accessed through the Site

IN NO EVENT SHALL STREETALPHA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF (A) THE TOTAL SUBSCRIPTION FEES YOU PAID TO STREETALPHA IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) $25.00 USD.

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if StreetAlpha has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

9. Intellectual Property

All content on StreetAlpha — including text, graphics, dashboards, layouts, code, logos, AI-generated outputs, the Alpha Bots system, persona designs, and the Morning Market Brief — is the property of StreetAlpha or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, scrape, or commercially exploit any content from this Site without our express written permission.

You may view and print content for your own personal, non-commercial use only. A paid subscription grants you a limited, non-exclusive, non-transferable license to access and use the features of your plan tier for personal use. This license does not permit redistribution, resale, or sharing of subscription access.

10. Third-Party Data and Links

The Site incorporates data from third-party providers including market data services, government filings (SEC EDGAR), financial data APIs, and payment processors (Stripe). StreetAlpha does not endorse any third-party source and is not responsible for the accuracy, availability, or practices of third-party data providers or services. Stripe's use of your payment data is governed by Stripe's own privacy policy and terms of service. Any links to external websites are provided for convenience only and do not constitute endorsement.

11. Prohibited Uses

You agree not to use the Site or any subscription feature to:

• Scrape, harvest, or systematically download data in bulk without written permission
• Redistribute, resell, sublicense, or share your subscription access with others
• Republish or commercially exploit StreetAlpha content, data, or AI outputs
• Attempt to interfere with, reverse engineer, or disrupt the Site's infrastructure or codebase
• Use automated tools to access the Site at rates that burden our systems
• Impersonate StreetAlpha or misrepresent your affiliation with us
• Circumvent or attempt to bypass any access controls, paywalls, or authentication mechanisms
• Use the platform for any unlawful purpose or in violation of any applicable regulation

12. Privacy

When you create an account or subscribe, StreetAlpha collects personal information including your name, email address, and payment information (processed and stored by Stripe — we do not store full card details). We use this information to operate your account, process payments, send transaction and service communications, and improve the platform. We do not sell your personal information to third parties for marketing purposes.

Standard web server logs (IP addresses, browser type, pages visited) are retained for security and analytics purposes. By using the Site and creating an account, you consent to these data practices. We may update our privacy practices as the platform evolves.

13. Communications and Notifications

Email. By creating an account, you consent to receive transactional emails at your registered email address. These include account verification, password reset, security notices, subscription receipts, billing notices, planned downtime announcements, and material changes to these Terms or our Privacy Policy. These messages are required to operate the service and cannot be opted out of without closing your account.

Trade alerts (email). AI Pro subscribers may opt into email trade alerts for one or more AI Auto Pilot personas via the Alert Preferences section of their account. You can opt out at any time by toggling the email switches off or by closing your account. Trade alerts are informational only and are subject to all disclaimers in Sections 2 and 3.

Trade alerts (push notifications). AI Pro subscribers may also opt into web push notifications via their browser or installed home-screen application. Subscribing to push notifications requires explicit permission via your operating system or browser, which you can revoke at any time through your device settings or via the Alert Preferences section of your account. Push notifications are delivered via your browser vendor's push service (Google FCM, Mozilla autopush, Apple Push Notification Service) and are subject to standard delivery limitations of those services. We do not guarantee delivery of any individual notification.

Delivery disclaimers. Email and push delivery depend on factors outside our control, including your email provider's spam filtering, your browser or device's notification settings, your network connection, and the availability of upstream push services. StreetAlpha does not guarantee that any individual alert will be delivered, delivered on time, or delivered in the order sent. You should never make trading decisions based solely on a notification. You are responsible for verifying any information in our alerts against your own research before acting on it.

14. Indemnification

You agree to indemnify, defend, and hold harmless StreetAlpha and its operators, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Site or any subscription service; (b) your violation of these Terms; (c) any investment or trading decisions you make based on content from the Site; or (d) your violation of any applicable law or the rights of any third party.

15. Forward-Looking Statements

Certain content on StreetAlpha may contain forward-looking statements, projections, or opinions about future market conditions. These statements are inherently uncertain and subject to change without notice. Actual market outcomes may differ materially from any projections or opinions expressed. Past market performance — whether real or simulated — is not indicative of future results.

16. Termination

StreetAlpha reserves the right to suspend or terminate your access to the Site or any subscription, with or without notice, at its sole discretion, for any reason including but not limited to a violation of these Terms. Upon termination, your right to access paid features will cease immediately. If your account is terminated for a violation of these Terms, you will not be entitled to a refund of any prepaid subscription fees. You may also terminate your account at any time by cancelling your subscription and ceasing use of the Site.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United States and the State of Missouri, without regard to conflict of law principles. Any disputes arising under or related to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Missouri, and you consent to the personal jurisdiction of such courts. You waive any right to participate in a class action lawsuit or class-wide arbitration against StreetAlpha.

18. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

19. Entire Agreement

These Terms, together with any additional terms applicable to specific features or subscription plans, constitute the entire agreement between you and StreetAlpha with respect to the subject matter herein, and supersede all prior or contemporaneous communications, representations, and agreements, whether written or oral.
